Terms & Conditions

NeuPortal · Beta testing edition of 03.11.2026 · Contact: [email protected]

Section 1. Status of the platform and identification

1.1. These Terms are concluded between the User and the NeuPortal project (the "Administration"). Until the international registration of a legal entity is completed and the relevant regulatory licences are obtained, the only official channel for legally significant requests, claims and communication with the Administration is the email address: [email protected]. The company's full details will be added to these Terms within 30 days of their issue by the registering authority.

1.2. The Platform provides access to custom AI agents and trading terminals solely as part of a public scientific and technical experiment and open beta testing, on an "as is" basis. All services operate in technical debugging mode and as a demonstration of the software's capabilities.

1.3. By registering and ticking the consent box on the registration form, the User confirms that they have read and accept these Terms together with the Privacy Policy, the AML/KYC Policy, the Risk Disclosure & AI Disclaimer and the Cookie Policy. These documents form part of the Terms.

Section 2. Legal status of transactions, balance, bonus and referral programmes

2.1. During beta testing the built-in custom payment gateway and the Platform's balance system operate in technical and operational debugging mode. When the User deposits digital assets (cryptocurrency) and the transaction is confirmed on the blockchain, an equivalent amount of assets is credited to the Platform's cash wallets and shown on the internal balance in the User's account.

2.2. The accepted assets and networks, minimum amounts, crediting and conversion rules are shown in the account on the deposit page. Deposits in the USDT and USDC stablecoins are credited without exchange; deposits in other supported assets (including Bitcoin) may be automatically converted into USDT at the market rate at the time of crediting, under the rules shown on the deposit page. Withdrawals are available in USDT and USDC on the networks shown in the account; certain kinds of funds on the balance (for example, deposited amounts not yet placed in a plan) may be subject to special withdrawal and transfer rules shown in the account. The network fee for a withdrawal depends on the chosen network and is shown before the operation is confirmed. Blockchain transactions are irreversible: the User is responsible for the correctness of the address, network and asset.

2.3. The digital assets shown on the balance are used by the User within the experiment solely to check and test:

  • the technical logic of the custom gateway, the processes of depositing to the Platform's cash wallets and subsequent withdrawal of assets to users' personal wallets;
  • the interaction of AI agents and analytical terminals with external markets (currently Binance; in future, including Polymarket, SX Bet, Kalshi, Oanda and others) when the User transfers assets from the balance to be managed by trading strategies;
  • the load capacity of the built-in referral system and bonus programme (including the crediting of rewards in digital assets to the User's balance for inviting new participants, marketing activity and completing test tasks).

2.4. Placing assets in a trading plan, stopping it, withdrawing profit and funds from the plan, the fees withheld and other parameters are governed by the terms of the relevant plan, which are shown in the account before the plan is activated. The User confirms that they have read these terms before placing assets.

2.5. Changes in the User's balance (up or down) during beta testing, as regards assets placed in plans, reflect the results of the AI algorithms and terminals on external markets, as well as fees withheld under the plan terms. Withdrawal of digital assets from the account balance to the User's external wallet is a technical return of assets under the terms of the infrastructure beta-testing loyalty programme. These operations are not banking services, deposit-taking or gambling activity.

2.6. Rewards under the referral, VIP and bonus programmes (including the Push Cash promotion) are paid by the Platform from its own funds and do not reduce the funds of invited users. Programme terms are published in the account. The Administration may cancel and debit unwithdrawn rewards obtained in breach of the programme terms or Section 6 of these Terms.

2.7. To keep transactions secure, user verification (KYC) and monitoring of the cleanliness of incoming and outgoing digital assets (AML) are carried out with the independent provider Didit (which, according to Didit itself, is certified to SOC 2 Type II and ISO/IEC 27001) and with the Platform's own tools (including checking addresses against sanctions lists). Verification is not required to register, deposit or place assets in plans; without verification, the withdrawal limits shown in the account apply. The Administration may request verification at any time if there are risk signals. The procedure is described in the AML/KYC Policy.

2.8. The Administration may temporarily suspend crediting and withdrawals from the balance if it receives corresponding risk signals from the Didit infrastructure or the Platform's own control systems. The Administration may set daily and per-transaction deposit/withdrawal limits and send large withdrawals for manual review to protect the Platform's hot and cold wallets.

Section 3. Seamless transfer of rights (Assignment)

3.1. The Administration (the NeuPortal project) reserves the right to unilaterally transfer all rights and obligations under these Terms, as well as the user databases (including personal data, digital asset balances, KYC history and technical logs), to a newly established legal entity (the Platform Operator) without the need for additional consent from Users. The company's licence data and details will be published in the site footer and in these Terms as soon as they are obtained.

3.2. The Administration will notify Users of the transfer by the email address in their account and on the site, stating the name and details of the Platform Operator. After the transfer the User keeps all rights in respect of their personal data (access, rectification, obtaining a copy and erasure, within the limits allowed by anti-money-laundering law) and the right to close the account and withdraw the available balance under the account rules.

Section 4. Who may use the Platform

4.1. The Platform may be used only by a natural person with full legal capacity who is at least 18 years old (or the higher age of majority in their country of residence), acting in their own name and on their own behalf.

4.2. The Platform may not be used by persons on the sanctions lists of the UN, EU, UK, US (OFAC) or other applicable lists, or by persons controlled by them.

4.3. Restricted jurisdictions. The Platform is not intended for persons who reside or are located in jurisdictions where its services are prohibited or require a licence the Administration does not hold: the Democratic People's Republic of Korea (North Korea), Iran, Cuba, Syria, Crimea and the areas of the Donetsk and Luhansk regions not controlled by Ukraine, and the United States of America (for the beta-testing period). Circumventing restrictions with a VPN, proxy, another person's documents or accounts is prohibited. The fact that the site is accessible in the User's country does not mean its use is permitted there; the User is responsible for the lawfulness of using the Platform under the law of their country.

Section 5. Account and security

5.1. The User provides accurate information and is responsible for keeping their password, second authentication factor and access to their email secure. One account per person is allowed.

5.2. The Administration and the assistant "Nova" never ask for your password, confirmation codes, seed phrase or private key. Official emails come only from the neuportal.ai domain.

Section 6. Prohibited use

6.1. It is prohibited to: create several accounts or use someone else's; invite yourself under the referral programme; abuse bonuses and promotions (artificial operations, circular transfers, collusion); exploit errors and vulnerabilities of the Platform instead of reporting them; use bots, scripts and scrapers against the Platform's interfaces without permission; deposit funds of criminal origin or third-party funds, evade sanctions and checks; provide false information and documents; interfere with the operation of the Platform; breach the rules of external venues through the Platform; any other unlawful use.

6.2. In case of a breach the Administration may, in proportion to the breach, restrict features, cancel rewards obtained through the breach, suspend or close the account and, where the law requires, report to the competent authorities.

Section 7. Disclaimer of warranties and limitation of liability

7.1. To the maximum extent permitted by applicable law, the Platform, AI agents, terminals and materials are provided "as is" and "as available", without any warranties, including warranties of uninterrupted or error-free operation or of any financial result. The Administration does not promise or guarantee any return.

7.2. To the maximum extent permitted by applicable law, the Administration is not liable for: losses from market movements and AI agents' decisions within the plan terms; lost profit and indirect losses; acts and failures of external exchanges, blockchain networks and providers; the consequences of the User's errors in the address, network or asset; the consequences of unauthorised access to the account through the User's fault; force majeure.

7.3. The limitations of liability do not reduce the User's right to the return of their own confirmed assets recorded on the Platform balance, less lawful deductions.

7.4. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including for fraud, wilful misconduct and death or personal injury), or deprives a consumer of rights granted by the mandatory rules of their country of residence.

Section 8. Suspension and closure of the account

8.1. The User may at any time stop using the Platform, stop plans under their terms, withdraw the available balance and close the account by writing to [email protected].

8.2. The Administration may suspend or close an account for a breach of the Terms, as required by law or on risk signals (Section 2, AML/KYC Policy). In that case the User receives the available balance, except funds whose retention is required by law or relates to the breach.

8.3. The Administration may suspend or end beta testing in whole or in part, notifying Users in advance where possible. If it ends, Users will be able to withdraw their available balance.

Section 9. Changes to the Terms

9.1. The Administration may change these Terms. Users are notified of material changes by email and in the account before they take effect. Changes do not apply retroactively to completed operations. A User who does not agree with the changes may close the account before they take effect. The current version is always available on the site.

Section 10. Governing law, severability, language

10.1. Governing law and dispute resolution: to be stated after the legal entity is registered. Until then disputes are, where possible, resolved by negotiation at [email protected]; mandatory rules on consumer jurisdiction remain in force.

10.2. If any provision of these Terms is held invalid or unenforceable, the remaining provisions are not affected.

10.3. These Terms are drawn up in English. Any translation is provided for convenience only; in case of any discrepancy, the English version prevails.
